The Expanding WKSI Eligibility Act (HR4430) would lower the aggregate common-equity public float threshold used to qualify as a well-known seasoned issuer (WKSI) under SEC rules, broadening the population of issuers eligible for automatic shelf registration and other WKSI communication accommodations. For issuers, this means faster, more flexible access to capital markets via expedited shelf offerings; for investors, it expands the set of companies whose securities may be sold under the streamlined WKSI framework.
