Expanding WKSI Eligibility Act
Key claim: The Expanding WKSI Eligibility Act (HR4430) lowers the aggregate common-equity market-value threshold so more issuers can qualify as well-known seasoned issuers and use expedited automatic shelf registrations.
Abstract
(HR4430 · 119th Congress) This bill reduces the required aggregate market value of voting and non-voting common equity shares for an issuer of securities to qualify as a well-known seasoned issuer. A well-known seasoned issuer is allowed to make expedited public offerings of securities through automatic shelf registrations. Latest action (2025-12-02): Received in the Senate and Read twice and referred to the Committee on Banking, Housing, and Urban Affairs.
Why this matters
WKSI status confers substantial advantages — automatic shelf effectiveness, freer written communications, and pay-as-you-go registration fees — so the market-value threshold effectively gates which issuers can tap capital markets on an expedited basis. Lowering that threshold via statute would durably enlarge the WKSI universe beyond what SEC rulemaking alone could accomplish, and would work in tandem with the SEC’s parallel registered-offering reform proposal. Status remains introduced, so the practical impact on issuers and investors is contingent on enactment.
