SEC Semiannual Reporting (Form 10-S)

Current understanding

The SEC has proposed allowing reporting companies to satisfy interim reporting obligations under the Securities Exchange Act of 1934 by filing semiannual reports on a new Form 10-S in lieu of quarterly Form 10-Q filings. The proposal would create an optional semiannual reporting regime, a significant change in disclosure frequency policy that would reduce periodic reporting burden for issuers electing to use it. Status: proposed rule; not final.
