SEC Filer Status Simplification & EGC Accommodations
Current understanding
The SEC has proposed to consolidate Exchange Act reporting company filer statuses into two primary categories and raise the thresholds for large accelerated filer status, effectively extending scaled disclosure accommodations currently reserved for smaller filers to all non-accelerated filers. The proposal also enhances accommodations available to emerging growth companies (EGCs) under the JOBS Act framework. Status: proposed rule — not yet finalized. Impact: more reporting companies would qualify for reduced disclosure and compliance burdens (e.g., scaled financial disclosures, potential ICFR auditor attestation relief).
